Terms of Service

These Terms of Service ("Terms") govern your use of productapp and all related products and services ("Services") provided by Context Evolution UG (haftungsbeschränkt) ("we", "us" or "Company"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or otherwise accessing the Services, you confirm that you are at least 18 years old, have read and understood these Terms, and agree to be bound by them. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Services

productapp is a software-as-a-service platform that enables users to discover, track, and manage software products. We provide access to our platform over the Internet on a subscription basis.

3. Account Registration

You must create an account to access the Services. You agree to provide accurate, current, and complete information during registration and to update this information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately at the contact details provided in our imprint if you suspect any unauthorized use of your account.

4. Subscription and Payment

4.1 Billing

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All fees are stated in Euros (EUR) unless otherwise indicated. Prices are exclusive of any applicable taxes, which are your responsibility.

4.2 Payment Processing

Payments are processed by our payment provider, Lemon Squeezy. By providing payment information, you authorize us (through Lemon Squeezy) to charge the applicable fees for your subscription plan.

4.3 Renewals

Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. We will notify you in advance of any material changes to your subscription fee.

4.4 Refunds

Subscription fees are non-refundable except as required by applicable law or as expressly stated in our refund policy. If you cancel during a billing period, you retain access to the Services until the end of that billing period.

5. Free Trial

If we offer a free trial, you may use the Services free of charge during the trial period. At the end of the trial period, your account will convert to a paid subscription unless you cancel before the trial ends.

6. Acceptable Use

You agree to use the Services only in accordance with these Terms and our Acceptable Use Policy, which is incorporated by reference. You must not use the Services for any unlawful purpose or in any manner that could harm, disable, overburden, or impair the Services.

7. Intellectual Property

7.1 Our IP

All intellectual property rights in the Services, including software, design, text, graphics, and data, are owned by Context Evolution UG (haftungsbeschränkt) or our licensors. Nothing in these Terms grants you any right to use our trademarks, logos, or trade names.

7.2 Your Content

You retain ownership of any content you upload or create using the Services ("Your Content"). By uploading content, you grant us a non-exclusive, royalty-free, worldwide license to use, store, and process Your Content solely to provide the Services to you.

7.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, we may use them without any obligation to you and without restriction or compensation.

8. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy, which is incorporated by reference into these Terms. By using the Services, you acknowledge that you have read and understood our Privacy Policy.

9. Confidentiality

Each party agrees to keep the other party's confidential information confidential and not to disclose it to any third party without the other party's prior written consent, except as required by law.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONTEXT EVOLUTION UG (HAFTUNGSBESCHRÄNKT) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Context Evolution UG (haftungsbeschränkt) and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, Your Content, or your breach of these Terms.

13. Term and Termination

13.1 Term

These Terms remain in effect for as long as you use the Services or maintain an account with us.

13.2 Termination by You

You may cancel your account at any time from your account settings. Cancellation takes effect at the end of your current billing period.

13.3 Termination by Us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees when due, or if required by law. We may also discontinue the Services with reasonable notice.

13.4 Effect of Termination

Upon termination, your right to use the Services ceases. We may delete your account data after a reasonable retention period, in accordance with our Privacy Policy.

14. Changes to Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Services at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Germany, without regard to its conflict of law provisions. The exclusive jurisdiction for any disputes arising under these Terms shall be the courts of Berlin, Germany, unless mandatory consumer protection laws in your jurisdiction provide otherwise.

If you are a consumer residing in the EU, you may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

16. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and us with respect to the Services.
